We currently have a rewarding opportunity for a Corporate and Securities Counsel. This individual will report to the General Counsel and provide a range of legal services with a primary focus on supporting the company’s transactional, corporate governance and corporate finance matters.
Essential Job Functions:
Ensure compliance with SEC and NYSE rules and regulations, including the ’33 and ’34 Act (including advising and preparing necessary materials relating to all public filings)
Advise on securities law issues and policies
Lead M&A transactions, including drafting and negotiation responsibilities
Manage all Section 16 filings
Prepare draft Board minutes and materials
Lead maintenance of inter-company agreements, subsidiary records and related requirements
Provide legal support and guidance for subsidiary operations
Advise on commercial contracts and provide other legal support to the finance, treasury, credit and tax functions
Minimum Eligibility Requirements:

Bachelor’s and law degrees
10+ years of relevant experience in a law firm or in-house legal department
Experience in securities filings, M&A, corporate governance and commercial contracts
Excellent organizational, communication and client service skills
Can work independently, with ability to anticipate and address follow-up needs and escalate issues as appropriate
Ability to manage and prioritize responsibilities; role is expected to collaborate with multiple attorneys and business departments
Ability to thrive in a fast-paced environment and grow as the company’s legal needs increase and evolve
Working Conditions (travel & environment)
Limited travel required including air and car travel.
The noise level in the work environment is typically quiet to moderate.
Physical/Sensory Requirements
Sedentary Work – Ability to exert 10 - 20 pounds of force occasionally, and/or negligible amount of force frequently to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time but may involve walking or standing for brief periods of time.
